Service Terms and Conditions for Dev-iT Software Development Services

These terms apply to all Dev-iT services and website usage
1. Acceptance of Terms
By accessing and using Dev-iT's website and services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to all the terms and conditions, please do not use our services.
These Terms constitute a legal agreement between you and Dev-iT, a sole proprietorship operating in South Africa.
2. Service Description
Dev-iT provides software development and consulting services including but not limited to:
- Custom web application development
- Mobile application development
- Database design and implementation
- API development and integration
- DevOps and cloud services
- Software consulting and technical advisory
3. Website Usage
3.1 Permitted Use
You may use our website for:
- Viewing information about our services
- Contacting us for business inquiries
- Downloading publicly available resources
- Accessing documentation related to our services
3.2 Prohibited Activities
You agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Distribute malware or harmful code
- Interfere with website operations or security

4. Service Agreements
4.1 Project Proposals
All software development projects begin with a detailed proposal outlining:
- Project scope and deliverables
- Timeline and milestones
- Pricing and payment terms
- Technical specifications
- Acceptance criteria
4.2 Contract Formation
A binding contract is formed when:
- A written proposal is accepted by the client
- Both parties sign a service agreement
- Initial payment or deposit is received
4.3 Modifications
Any changes to project scope must be agreed upon in writing and may result in adjusted timelines and costs.
5. Payment Terms
5.1 Pricing
All pricing is quoted in South African Rand (ZAR) unless otherwise specified. Prices are subject to change with 30 days' notice.
5.2 Payment Schedule
Standard payment terms:
- 50% deposit required to commence work
- Remaining balance due upon project completion
- Monthly invoicing for ongoing services
- Payment due within 30 days of invoice date
5.3 Late Payments
Late payments may result in:
- Interest charges at the prime lending rate + 2%
- Suspension of services
- Legal action for debt recovery
6. Intellectual Property
6.1 Client Ownership
Upon full payment, clients own all custom developed code and applications created specifically for their project, except for:
- Pre-existing Dev-iT intellectual property
- Third-party libraries and frameworks
- General methodologies and best practices
6.2 Dev-iT Rights
Dev-iT retains the right to:
- Use general knowledge and experience gained
- Reference completed projects in portfolios (with client consent)
- Utilise non-proprietary solutions and frameworks
6.3 Third-Party Components
Third-party software and libraries are subject to their respective licences and terms.
7. Confidentiality
Dev-iT respects client confidentiality and will:
- Maintain strict confidentiality of proprietary information
- Use client data only for agreed project purposes
- Implement appropriate security measures
- Sign separate NDAs when required
8. Warranties and Disclaimers
8.1 Service Warranty
Dev-iT warrants that services will be performed in a professional manner consistent with industry standards. We provide:
- 30-day warranty on bug fixes for delivered software
- Professional workmanship guarantee
- Compliance with agreed specifications
8.2 Disclaimers
Except as expressly stated, all services are provided "as is" without warranties of any kind. We do not warrant:
- Uninterrupted or error-free operation
- Compatibility with all systems or software
- Specific performance metrics unless agreed
- Fitness for particular purposes beyond scope
9. Limitation of Liability
To the maximum extent permitted by South African law:
- Dev-iT's total liability is limited to the amount paid for services
- We are not liable for indirect, consequential, or incidental damages
- We are not responsible for data loss due to client actions
- Liability excludes third-party software issues beyond our control
Note: These limitations do not apply to gross negligence or willful misconduct.
10. Client Responsibilities
Clients are responsible for:
- Providing accurate and timely project requirements
- Timely feedback and approvals
- Providing necessary access to systems and data
- Maintaining backups of critical data
- Testing delivered software in their environment
- Compliance with applicable laws and regulations
11. Termination
11.1 Termination by Client
Clients may terminate projects with written notice. Termination terms:
- Payment due for all completed work
- Delivery of work completed to date
- No refund of non-refundable deposits
11.2 Termination by Dev-iT
We may terminate agreements for:
- Non-payment of invoices
- Breach of agreement terms
- Client conduct that impedes project progress
- Illegal or unethical requests
12. Force Majeure
Dev-iT is not liable for delays or failures to perform due to circumstances beyond our reasonable control, including:
- Natural disasters
- Government actions or regulations
- Internet or infrastructure failures
- Pandemics or health emergencies
- Other acts of God
13. Dispute Resolution
13.1 Informal Resolution
We encourage resolving disputes through direct communication and negotiation.
13.2 Mediation
If informal resolution fails, disputes may be submitted to mediation before pursuing legal action.
13.3 Governing Law
These Terms are governed by South African law, and any legal proceedings will be conducted in appropriate South African courts.
14. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy, which complies with POPIA requirements.
By using our services, you acknowledge that you have read and understood our Privacy Policy.
15. Communications
By using our services, you consent to receive communications from us via:
- Email for project updates and invoices
- Phone calls for urgent project matters
- Written correspondence when required
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website. Continued use of our services after changes constitutes acceptance of new Terms.
For existing projects, Terms in effect at project commencement will apply unless otherwise agreed in writing.
